Letters of intent should include:
- Proposed Purchase Price
- Earnest Money (the amount of the initial deposit)
- Feasibility Period (how many days they want to examine the property, its potential uses, environmental, etc.)
- The type of deed (Bargain and Sale or Special Warranty Deed is standard for commercial/agricultural property)
- Closing Date
- Any other conditions to Closing
- Financing or how the Purchase Price will be paid at Closing.
- They should include in their LOI a statement acknowledging that the sale will be "as-is".
